Terms of service

1. Agreement

By accessing or using Gennii LaunchPad ("Platform"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility

The Platform offers access to securities and related services. You must be at least 18 years old (or the age of majority in your jurisdiction), legally permitted to access the Platform in your jurisdiction, and satisfy all KYC/AML and investor-eligibility requirements we enforce server-side. We may refuse or terminate access at our discretion where required by law or our compliance policies.

3. Account & security

• You are responsible for maintaining the confidentiality of your credentials.
• Enable two-factor authentication when prompted for accounts that can move funds or change payout addresses.
• Wallet linking requires cryptographic proof of ownership; you must control any wallet associated with your account.
• Notify us promptly at security@gennii.example if you suspect unauthorised access.

4. Platform services

Gennii provides technology infrastructure for discovering, subscribing to, and managing tokenized security offerings. We are not the issuer of third-party projects unless explicitly stated. Each offering is governed by separate issuer documents, which prevail for offering-specific terms.

5. Prohibited conduct

• Circumventing geo-restrictions, KYC, or transfer controls.
• Providing false information during onboarding or accreditation.
• Market manipulation, wash trading, or other fraudulent activity.
• Attempting to access systems or data without authorisation.
• Using the Platform for money laundering or sanctions evasion.

6. Fees

Applicable subscription fees, network gas costs, and platform fees (if any) are disclosed on the relevant offering page or at checkout. You are responsible for blockchain network fees associated with your transactions.

7. Intellectual property

The Platform, its branding, software, and content (excluding user- and issuer-submitted materials) are owned by Gennii or its licensors. You may not copy, modify, or reverse-engineer the Platform except as permitted by applicable law.

8. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation.

9. Limitation of liability

To the maximum extent permitted by law, Gennii and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform. Our aggregate liability shall not exceed the greater of fees you paid to us in the twelve months preceding the claim or one hundred US dollars.

10. Suspension & termination

We may suspend or terminate your account if you breach these Terms, if required by law, or for compliance reasons including sanctions matches or failed KYC. On-chain holdings and contractual rights with issuers survive termination as applicable law and offering documents require.

11. Governing law & disputes

These Terms are governed by the laws of India, with courts in Gandhinagar, Gujarat having exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction. Final dispute-resolution mechanics (including arbitration) will be set by counsel.

12. Changes

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the Platform. Continued use after the effective date constitutes acceptance.
